AGM of ATM Group: new appointments to the governing bodies and a higher dividend

On June 27, 2011, the General Meeting of ATM Group, Poland’s largest independent television and film producer, appointed Tomasz Kurzewski as Chairman of the Supervisory Board and Andrzej Muszyński as President of the Executive Board. In addition, the AGM resolved to pay a dividend of PLN 0.18 per share, higher than that recommended by the Executive Board. The dividend will total PLN 15.5m. The dividend record date is July 27, 2011, and the dividend will be paid on August 11, 2011.

“In the 19 years since its inception, ATM Group has gained a stable position in the sector of independent television and film production in Poland. To manage this fast-growing company was an important experience, full of challenges and successes. In that time the company not only significantly increased its revenue and number of television and film productions but also invested in new areas, pursued a policy of consolidating the television production market and developed in the areas of infrastructure and new technologies. ATM Group currently has a young and dynamic team of executives which should be given the chance to prove their worth. This is why I hand over the reins of the company to them but I will still be involved in ATM Group’s development as a supervisor. I strongly believe that the present executive board chaired by a new CEO will contribute to the further success of the company”, said Tomasz Kurzewski, Chairman of the Supervisory Board of ATM Group, former CEO of the Executive Board.

The new CEO, Andrzej Muszyński, will be responsible for continuing the strategy of vigorously developing the company’s offering of television programming and films, and of steadily increasing ATM’s market share. The company’s present market share, 14%, is estimated to be worth PLN 750m. ATM is the only company in the sector with its own technical and logistic infrastructure enabling it to provide a full range of services for the development and production of television programming (studios and equipment). In addition, in September 2011 ATM Group is planning to open the Television and Film Production Center in Wawer, Warsaw. The ATM Studio is a 14,000-square-meter-complex of studios, stages, offices and other production facilities. The company is also working hard to launch television channel ATM Rozrywka TV on the first digital TV multiplex.

Andrzej Muszyński has worked in the media industry since 1992. He has served as President of the Executive Board of ATM Grupa S.A. for two years. Since 2007 he has been the owner and President of branded content company Aldentro. Andrzej Muszyński is also a member of the Executive Board of Film Miasto Sp. z o.o., which is a subsidiary of ATM Group. He graduated in film studies from the Faculty of Philology of the Jagiellonian University.

“To be appointed CEO of the executive board of ATM Group is a huge honor but also a challenge. I hope that my experience in the industry will enable me to successfully continue the company’s growth strategy and implement many new concepts and plans. I believe that with ATM’s executive team I will strengthen ATM Group’s market position”, said Andrzej Muszyński, CEO of ATM Group.

In the first quarter of 2011, ATM Group posted PLN 27.4m in revenue, up 9.4 % on the same period in 2010, and 1.5m in net profit, up 73.7%. In the first quarter ATM Group companies filmed their mainstay series “Kiepski’s World”, “Ojciec Mateusz” and “Licencja na wychowanie”, which feature in Polsat’s and TVP’s spring schedules. Studio A wrapped up filming the second season of series “Ludzie Chudego”, which is due to air this fall, and work is underway on “Siła wyższa”, a new production for TVP1. ATM Group is currently preparing to shoot a new soap for TVP 1, “Galeria”, in the company’s studio in Wrocław.

ATM Group regularly pays dividends to its shareholders:

* The company paid a 2009 dividend of 6.88m, or 0.08 per share.

* This year the company resolved to pay a dividend of 13.76m, or PLN 0.16 per share (instead of PLN 0.12 as originally planned).
